These terms govern your use of Varanity’s services. They’re written to be clear and fair. If something isn’t right, email us at hello@varanity.com before it becomes a problem.
01Acceptance
By engaging Varanity — placing an order, signing a proposal, or making a payment — you agree to these terms. If you’re acting on behalf of a business, you confirm you have the authority to bind that business.
Varanity is operated as a sole-proprietor studio based in Malaysia. “We”, “us”, “Varanity” means that entity. “You” means the client.
02Our services
Varanity provides web design, development, and digital marketing services as described in each project proposal. The scope of each engagement is defined in writing before work begins.
We reserve the right to decline work that conflicts with our values or that we believe we cannot deliver to our standard.
03Payment
Payment terms are set out in each proposal. Generally:
- The website audit is paid in full before work begins.
- Project work is invoiced as agreed — typically a deposit before start, balance before or on launch.
- Ongoing retainers are invoiced monthly in advance.
Invoices are due within 14 days of issue. Late payment may result in work being paused. All prices are in USD unless otherwise stated. International clients are invoiced via Wise or Airwallex.
04Deliverables
We’ll deliver what’s agreed in the project scope, on the timeline agreed. Changes to scope after work has begun may affect timeline and cost — we’ll tell you before proceeding.
All deliverables remain owned by Varanity until payment is received in full, at which point ownership transfers to you as described in Section 6.
05Your responsibilities
Good work requires both sides. You agree to:
- Provide content, access, and feedback within agreed timeframes
- Ensure you own or have rights to any materials you give us
- Have a single point of contact with authority to make decisions
- Pay invoices on time
Delays caused by late content or feedback may move the project timeline accordingly.
06Intellectual property
On receipt of full payment, you own the final deliverables — design files, code, and content produced for your project.
We retain the right to show the work in our portfolio and case studies, unless you ask us in writing not to. We do not retain rights to use your brand, content, or confidential information for any other purpose.
Third-party components (open-source libraries, licensed fonts, stock assets) remain subject to their own licences — we’ll document these in the project handover.
07Limitation of liability
We do our best work and stand behind it — but we can’t guarantee specific business outcomes (rankings, revenue, enquiry volumes). Results depend on many factors outside our control.
Our total liability for any claim arising from a project is limited to the fees paid for that project. We are not liable for indirect or consequential losses.
08Governing law
These terms are governed by the laws of Malaysia. Any disputes will be resolved in the courts of Penang, Malaysia, unless we agree otherwise in writing.
